Key Corporate Biographies

Gracen Johnsen, PHR, CSP – CEO, President
Ms. Gracen Johnsen is certified as a Professional in Human
Resources (PHR) by the Society of Human Resource Management and
is an American Management Association Certified Strategic Planner.  
Ms. Johnsen worked for several years in the securities industry, held
the Series 24 Principal's License, and is a National Association of
Securities Dealers trained mediator.  Gracen holds a Bachelor of
Science degree in Education and Library Science from Oklahoma State
University and has completed graduate work in Educational Theory at
the University of Idaho and in Business Management at Pepperdine
University.  For eight years, Ms. Johnsen served as an officer and
director of a publicly traded corporation located in Southern California.  
Her duties included corporate compliance with SEC, OSHA, INS, and
Department of Agriculture regulations. Ms. Johnsen advises Johnsen
Corporate Services' clients on human resource management, strategic
business planning, corporate governance, and employment and
regulatory compliance.

Jay W. Gann – Senior Corporate Advisor
Mr. Jay Gann holds a Bachelor's Degree from St. John's College and a
Master's Degree from California State University.  After four years in the
US Air Force, Jay consulted the Southwestern Bell Telephone Company
(now SBC), Mountain Bell Telephone Company (now Qwest), as these
"baby bells" formed independent marketing departments. Jay has
considerable experience in designing compliant marketing programs
for regulated business environments.  Mr. Gann's large clients also
included AT&T, Westinghouse, E.F. Hutton, and the LTV Corporation.  
Jay has professional training in the valuation of private company
securities and illiquid assets.  He is an advisor to Lyons & Hannover,
LLC on fine art collateralized lending and was co-founder of a
successful art gallery in Santa Fe, New Mexico.  Mr. Gann advises the
clients of Johnsen Corporate Services on value creation, corporate
structure and compliance, management planning and development,
corporate governance, and complex marketing strategies.

Andrew Waldman, MBA – Business Analyst, Corporate Advisor
Andrew Waldman joined JCS full time in December 2001, after
completing his MBA at the University of New Mexico’s Anderson School
of Business with concentrations in Management Information Systems
and Management of Technology.  He had previously served JCS as a
management intern.  Mr. Waldman provides small business strategy
and planning support.  He is an accomplished business plan author
and reviewer and directs JCS’ client market research and financial
modeling services.  Andrew holds a Bachelor of Arts degree from the
University of Pennsylvania.  His previous business experience includes
public relations projects for various sports organizations.  

Gregory M. Acton, CPA (ret.), JD – CFO, Corporate Advisor
Mr. Gregory Acton is an Attorney and a Certified Public Accountant. He
received his CPA in 1988. His experience included three years
performing financial, internal control, and compliance audits with the
accounting firms KPMG Peat Marwick and Deloitte & Touche. Greg is
fluent in Spanish and performed operational and financial audits of
Chiquita Brands International subsidiaries throughout Central and
South America.

A cum laude graduate of the J. Reuben Clark Law School at Brigham
Young University, Greg was Senior Editor of the Brigham Young
University Law Review and was one of four students chosen to
represent the law school at a national litigation competition in Chicago.  
He was admitted to the State Bar of New Mexico in 1994 and to the Bar
of the United States District Court for the State of New Mexico in 1995.
Soon after his admission to the New Mexico State Bar, Greg opened a
private law practice, concentrating in employment and contract litigation.
He joined Johnsen Corporate Services as a Corporate Advisor after six
years of litigation practice.

Anthony J. Rippo, M.D. – Advisory Board, Consulting Team Leader
Dr. Anthony Rippo, licensed by the Medical Boards of Idaho and New
Mexico, is a seasoned start-up consultant and a successful
medical/bio-medical entrepreneur.  Enterprises founded by Dr. Rippo
include Marine Medical Services, La Jolla and Industrial Medical Group,
MDMI, Inc. (a medical network and international PPO), Beisan Sensor,
Sendex Medical (point of care analyzers), and BioReason (software for
high-through-put screening and analysis for new drug discovery).  Dr.
Rippo is a member of the Scientific Advisory Board of Quantum
Corporation of San Diego and is founding Director of Santa Fe Equity
Partners, LLC, a general partner of Invencor, a Menlo Park venture
capital firm.  As a consultant, Dr. Rippo has established his ability to
engage a company at concept stage, raise seed and venture monies,
hire high-level technical and professional staff, build strategic
partnerships, and conclude exit strategies.  He advises Johnsen
Corporate Services and its clients on all aspects of value building and
entrepreneurial success.

Dean Higganbotham – JCS Associate, Marketing; Team Leader
Mr. Higganbotham brings over a decade of experience in senior
management and nearly a decade of experience in sales to his
responsibilities with JCS. Prior to joining Johnsen Corporate Services
as an Associate, Mr. Higganbotham served as chief executive and
founder of AcmeClick, Inc. Since receiving his MBA in Information
Systems Management, he has worked consistently in the IT industry
serving various companies as account executive, Director of Sales,
National Sales Manager, and Regional Vice President of Sales. Mr.
Higganbotham has successfully served as Founding President and
CEO of two companies of his own creation.  As co-founder of Global
Combined Technologies, Mr. Higganbotham grew the company from 4
to 130 representatives, achieved a 50% annual growth rate, managed
locations in Oklahoma City, Tulsa, and Dallas, and successfully sold
the company to Pomeroy Computer Resources in 1999.  During his
tenure as president, Global Combined Technologies was listed by
VARBusiness magazine as one of the 100 fastest growing VARs.  

Charles Sheehan – JCS Associate
Mr. Sheehan has experience in securities and insurance sales,
mortgage marketing and processing, operations management,
computer repair, physical security, outdoor survival, emergency
medicine, and mathematics.  He has held Series 7 and 63 securities
licenses and a State of New Mexico Life, Health, and Disability
insurance license.  Mr. Sheehan will graduate with a Bachelor's Degree
in pure mathematics from Boston University and is a recipient of
several scholarships for academic excellence and mathematical and
German Language skill, including the elite Congress-Bundestag Youth
Scholarship Program award.  He is an Eagle Scout and served in the
US Navy as a member of the Presidential Ceremonial Guard in
Washington, DC.

Mr. Sheehan uses his research, problem-solving, and communications
skills at JCS to develop client approaches to financial, personnel,
operations, and organizational difficulties.
